Edgewater Wireless Secures Strategic Investment from Silicon Catalyst Angels to Accelerate Wi-Fi Spectrum Slicing Technology

Edgewater Wireless Systems Inc. (TSXV: YFI) (OTC: KPIFF), a pioneer in AI-powered Wi-Fi Spectrum Slicing silicon solutions, has closed a private placement with a strategic investment from Silicon Catalyst Angels I, LLC, the company announced on September 8, 2026. The investment, part of the second tranche of the offering, brings both capital and semiconductor industry expertise as Edgewater advances its Spectrum Slicing and PrismIQ roadmap toward prototype validation and commercial engagements.

The private placement consisted of 4,799,666 units at $0.06 per unit, raising gross proceeds of $287,979.96. Each unit comprises one common share and one common share purchase warrant exercisable at $0.09 for two years. Edgewater Chairman Brian Imrie also participated, investing $96,000, reinforcing leadership's alignment with shareholders. Together with the first tranche, the company has issued an aggregate of 11,955,545 units for total gross proceeds of $717,332.70. The securities from the second tranche are subject to a statutory hold period until January 9, 2027, and the closing remains subject to final acceptance by the TSX Venture Exchange.

Silicon Catalyst Angels is a semiconductor-focused angel investment group established in 2019 to provide seed and Series A funding to Silicon Catalyst Portfolio Companies. Its members include experienced semiconductor executives, technologists, and investors. This investment marks the latest expansion of Edgewater's relationship with Silicon Catalyst, which began in November 2024 when Edgewater was selected as a portfolio company. Since then, Edgewater has gained access to over 500 industry experts and millions of dollars in in-kind design, fabrication, and commercialization resources. The company also welcomed Silicon Catalyst Chief Operating Officer Nick Kepler as a Board Observer.

"Experienced semiconductor investors understand where value can be created: when differentiated technology moves into visible execution," said Andrew Skafel, President and CEO of Edgewater Wireless. "SCA's direct investment is a validation of our novel approach and strengthens Edgewater's strategic investor base at an important point in our development." Brian Imrie added, "My additional investment reflects my confidence in Edgewater's technology, team and commercial traction."

Edgewater's patented Spectrum Slicing technology, delivered through the PrismIQ product family, enables multiple concurrent channels in a single band, delivering a 10x improvement in performance and up to 50% lower latency, even for legacy devices. With 26 patents granted and 3 AI-related patents pending, the company's fabless model is transforming the economics of Wi-Fi for service providers, OEMs, and enterprises across residential, enterprise, and Industrial IoT markets.

The investment matters because it provides Edgewater with the capital and industry relationships needed to advance its Spectrum Slicing and PrismIQ platforms from engineering development to prototype validation and partner demonstrations. As Wi-Fi moves toward Wi-Fi 7 and beyond, where devices access very wide channels in congested spectrum, Edgewater's approach is timely. The company expects to stage an initial product release in the first half of 2027. This progress could lead to improved connectivity and economic gains for service providers and their customers, while solidifying Halifax's emerging role in advanced wireless technology.
